Job Description
Madison Pearl have been mandated by a global investor in Abu Dhabi to hire a 3-year PQE lawyer. The ideal candidate would be a working with a law firm focused on cross boarder transactional work. The mandate encompasses global investments in Public and Private Asset Classe.
Responsibilities:
- Preparing and negotiating key documents such as limited partnership agreements (LPAs), subscription agreements, and offering memoranda for private equity, venture capital, or real estate funds.
- Performing legal due diligence on potential investments, including reviewing target companies’ legal, financial, and governance aspects.
- Providing guidance on structuring investments, including equity and debt deals, joint ventures, and partnerships.
- Advising clients on fund-related regulations and ensuring compliance with local and international investment laws.
- Drafting side letters, handling investor relations, and supporting ongoing fund reporting and regulatory obligations.
Requirements:
- 3+ years’ of PQE in structuring, negotiating, and executing investment transactions, including private equity, venture capital, and joint ventures.
- Understanding of private equity, venture capital, and real estate fund formation, including the ability to draft and negotiate key fund documents (e.g., LPAs, offering memoranda).
- In-depth knowledge of fund-related regulations and compliance requirements for both local and cross-border transactions.
- Candidates would have ideally had exposure to legal due diligence on potential investments, including reviewing company structures, contracts, and governance matters.
- Confidence in managing client relationships, including advising investors, drafting side letters, and addressing ongoing legal and regulatory obligations.
